摘要:
董事对公司负有忠实义务和勤勉义务, 董事不履行其义务, 就要承担相应的民事责任, 公司可以对董事直接提起追究其 民事责任诉讼。在特殊情形下, 公司股东有权提起追究董事责任的派生诉讼。追究董事责任的诉讼在诉讼原告、诉讼的前置程序、 诉讼过程以及诉讼和解等方面都具有特点。
Abstract:
The directo rs shall bear the o blig atio ns of fideli ty a nd diligence to the company, o r the di rectors shal l bea r relev ant civi l liabili ties. If any di rector damag es the company 's interests, the compa ny can lodg e a civ il lawsui t di rect ly , and under some special ci rcumstances, the shareho lders may lodge a deriv ation actio ns. The abov e- mentio ned law sui t is special in the plaintif f, the pre- set pro ceeding s, the law sui t 's process and the law sui t co nci lia tion, etc.
