摘要:
公司法传统理念认为, 追求股东利益最大化是公司存在的原因。在社会化大生产的今天, 公司的社会责任理论对此作了必 要修正, 指出公司在不损害第三人和社会公共利益而为营利目标奋斗的同时也应承担起相应的社会责任, 主要表现为道德义务。 但与公司营利性本质相比, 公司社会责任处于次优地位。在此基础上对公司社会责任进行理性分析, 对于完善我国公司法律制度 以及促进经济协调稳定发展都具有重大意义。
Abstract:
T he tr aditio nal company law holds that the max imum interest of the sto ckholder is w hat the company only pursues. How ev er , under the condit ion of social mass production today , the theory on the company' s social responsibility has made some corrections. It holds that while the company is strug gling fo r it s ow n interest s, w ithout damag ing other s' interest s and public interest s, it has the responsibility for the w ho le so ciety , mainly moral responsibility . On this basis, a rat io nal analy sis o f the company' s social responsibility w ill contr ibute to the per fect ion of our company law system and the dev elo pment of national economy .
